1. Acceptance of Terms

By downloading, installing, or using Lutin, you agree to be bound by these Terms. As a member of the European Union (EU), the Swedish data protection regime consists of the General Data Protection Regulation (GDPR) and national laws supplementing the GDPR. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Lutin is an AI-powered desktop assistant application that helps users with various tasks by:

• Providing AI-driven assistance through natural language conversation
• Enabling voice interaction via push-to-talk functionality
• Offering global transcription services (speech-to-text system-wide)
• Performing real-time web searches for current information
• Analyzing screen captures for visual debugging and assistance
• Displaying images, charts, and diagrams in conversations
• Launching applications through voice commands
• Enabling hands-free web browsing
• Running background tasks and automated workflows
• Integrating with user applications and tools
• Storing conversation data locally on the user's device

3. Subscription and Payment

3.1 Subscription Tiers

• Free Plan: Includes basic AI chat, push-to-talk, and global transcription
• Essential Plan: $5 USD per month, includes all core features plus:
  • Always up-to-date answers via web search
  • Screen capture and analysis
  • Inline image display
  • Application launching
  • Hands-free web browsing
  • Background task execution
  • Workflow automation and app integrations

3.2 Payment Terms

• Payments are processed via Stripe
• Subscriptions renew automatically unless cancelled
• Prices may change with 30 days' notice to existing subscribers
• All fees are exclusive of applicable taxes, duties, and charges

3.3 Refunds

• Refunds are generally not provided except as required by law
• Swedish consumers may request refunds within 14 days of purchase under distance selling regulations
• Approved refunds are processed within 14 business days

4. User Responsibilities and Restrictions

4.1 Permitted Use

You may use Lutin for:

• Personal productivity and assistance
• Commercial use within the scope of your subscription
• Legal activities in accordance with applicable law
• Integration with your own applications and workflows

4.2 Prohibited Use

You may NOT use Lutin to:

• Generate harmful, illegal, harassing, or offensive content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Attempt to circumvent security measures or usage limitations
• Reverse engineer, decompile, or disassemble the software
• Use the service for automated spamming or bulk communications
• Transmit malware, viruses, or malicious code
• Impersonate others or misrepresent your affiliation
• Collect or harvest personal information of other users
• Interfere with or disrupt the Service or servers

4.3 System Access and Permissions

• Lutin requires system permissions to function (screen capture, application launching, etc.)
• You are responsible for managing these permissions on your device
• You are responsible for any actions performed through Lutin on your system
• We recommend caution when using automation features and integrations

4.4 Age Restrictions

Where information society services are offered directly to a child under the age of 13, and the lawful basis of processing their personal data is consent, such consent must be obtained from or authorized by the individual with parental responsibility over the child.

5. Artificial Intelligence and Output

5.1 AI Limitations

5.2 User Responsibility for AI Results

The User acknowledges and understands that the results produced by the Software, including all outputs, analyses, recommendations, and web search results, are generated through artificial intelligence and machine learning algorithms provided by third parties, and have not been individually reviewed, verified, or endorsed by human reviewers or subject matter experts.

5.3 Web Search and Current Information

• Web search results are provided by third-party AI providers
• We do not verify the accuracy of search results or external content
• Information may be outdated, incomplete, or inaccurate
• You should verify important information from authoritative sources

5.4 Screen Analysis and Visual Content

• Screen capture analysis is performed by AI and may contain errors
• Visual interpretations should be verified independently
• Sensitive or confidential information captured is your responsibility
• We recommend reviewing screen content before sharing with Lutin

6. Data Protection and Privacy

6.1 Local Data Storage

• Conversation history and user data are stored locally on your device
• We do not have direct access to your locally stored conversation data
• You are responsible for backup and security of your local data
• Data stored locally is subject to your device's security measures

6.2 Data Sent to Third-Party AI Providers

• Messages and prompts are sent to third-party AI providers (currently OpenAI and Anthropic)
• These providers process your data according to their own privacy policies
• Screen captures and images may be sent to AI providers for analysis
• Web search queries are processed by AI providers
• We do not control how third-party providers handle your data

6.3 Account and Usage Data

• We store minimal account information for subscription management
• We collect usage data as specified in our Privacy Policy
• We comply with GDPR and Swedish data protection legislation
• You have rights to access, rectify, and delete your account data

7. Third-Party Services and Integrations

7.1 AI Service Providers

Lutin utilizes AI technologies from third-party providers including but not limited to OpenAI and Anthropic. Additional providers may be added in the future.

7.2 Model Context Protocol (MCP) Integrations

• Users may integrate custom tools and services via MCP
• Custom integrations are entirely your responsibility
• We do not review, verify, or endorse third-party MCP tools
• Security and privacy risks from custom integrations are borne by you
• We are not liable for any issues arising from third-party integrations

7.3 Third-Party Terms

Your use of Lutin may be subject to additional terms from:

• AI service providers whose models you access
• MCP integration providers you choose to use
• Operating system vendors (Windows, macOS, Linux)
• Payment processor (Stripe)

You are responsible for complying with all applicable third-party terms.

8. Intellectual Property

8.1 Ownership

• Lutin software and all related code, design, and trademarks are owned by Constevol AB
• You are granted a limited, non-exclusive, non-transferable license to use the software
• Your locally generated content and conversations belong to you
• AI-generated content is subject to the terms of the underlying AI providers

8.2 License Restrictions

• License is personal and non-transferable
• You may not sublicense, sell, or redistribute Lutin
• You may not modify, adapt, or create derivative works
• Backup copies for personal use are permitted
• Commercial use is permitted within your subscription tier

8.3 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about Lutin, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

We are not liable for:

• Inaccuracies or errors in AI-generated content
• Actions taken based on web search results

• Compatibility issues with your operating system
• Security vulnerabilities in third-party services

9.5 Exceptions to Liability Limitations

Nothing in this Agreement limits or excludes either Party's liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any other losses that cannot be limited or excluded by applicable law

10. Force Majeure

Neither party shall be held liable for failure or delay in fulfilling or performing any term of this Agreement to the extent such failure or delay is caused by or results from causes beyond reasonable control including but not limited to:

• Fires, earthquakes, floods, natural disasters
• Wars, acts of war, terrorism, insurrections
• Failed security updates by third parties
• Third-party AI service outages or disruptions
• Riots, civil commotions, strikes, lockouts
• Acts of God
• Acts, omissions, or delays by governmental authorities
• Internet or telecommunications failures
• Power outages or infrastructure failures

11. Termination

11.1 User Termination

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing cycle
• No refunds for unused subscription time unless required by law
• You may continue using the Free Plan after cancellation
• You may delete your account by contacting [email protected]

11.2 Company Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Use the Service for illegal activities
• Abuse or misuse the Service
• Fail to pay subscription fees
• Engage in fraudulent activity

We may also:

• Discontinue the service with 30 days' notice
• Modify features with reasonable notice
• Suspend service for maintenance or security reasons

11.3 Effect of Termination

Upon termination:

• Your subscription access will be revoked
• Your account will be deactivated
• Locally stored data remains on your device
• We may delete your account data after a reasonable period
• Provisions that should survive termination will remain in effect

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes may be made due to:

• Significant changes in laws or regulations (data protection, consumer protection, etc.)
• Updates to Service features or functionality
• Changes in third-party provider terms
• Business or operational requirements

12.1 Notice of Changes

• Material changes will be notified via email 30 days before taking effect
• Continued use of the Service after changes constitutes acceptance
• If you disagree with changes, you may terminate your account

13. Governing Law and Jurisdiction

13.1 Applicable Law

These Terms are governed by the laws of Sweden, without regard to conflict of law principles.

13.2 Dispute Resolution

• Disputes should first be resolved through good-faith negotiation
• If negotiation fails, disputes shall be resolved in Swedish courts
• Enforcement decisions made by the Swedish Authority for Privacy Protection can be appealed to the court within 21 days from the day the plaintiff was made aware of the decision

13.3 Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under Swedish or EU law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Constevol AB regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.5 Language

These Terms are provided in English. Translations may be provided for convenience, but the English version shall prevail in case of conflict.
